Our Terms & Conditions

These Terms and Conditions (“Terms”) explain how TECHOM Systems Pty Ltd, trading as TECHOM Systems Shop (“shop.techomsystems.com.au”, “we”, “our”, or “us”), does business with you. By placing an order, you agree to these Terms.

IMPORTANT: TECHOM Systems only sells products, subscriptions and services to business customers (B2B) for internal business use. You may not resell, distribute, or sublicense anything purchased without our written consent. Your rights under the Australian Consumer Law (ACL) remain fully protected.

1. Scope, Products & Pricing

  • We supply IT hardware, software subscriptions (e.g., Microsoft 365), cloud services and professional services such as migration or technical support.
  • Prices are based on our current price list and may change without notice.
  • Product descriptions and specifications are approximate and for identification purposes only. Customers are responsible for ensuring products and services meet their business needs.

2. Subscriptions & Multi-Year Contracts

  • Subscriptions and cloud services are billed according to agreed terms (monthly, annual, or multi-year).
  • Billing may be fixed or based on actual usage. Customers are responsible for all usage charges, including unauthorized access.
  • Services may be suspended or terminated for non-payment or breaches. Subscriptions cannot be resold or transferred without our written approval.

3. Payment Terms

  • Approved credit accounts pay according to agreed trading terms. Non-approved accounts must pay in full before order fulfillment.
  • Accepted payment methods: EFT, BPAY, credit card, or other approved methods. Credit card transactions may incur processing fees.
  • Customers remain liable for payments even if they are reimbursed by their own clients.

4. Account Limits & Overdue Payments

  • Customers with approved accounts must stay within agreed limits. TECHOM Systems may request updated financial info or references.
  • Late payments incur a 1% monthly fee. Accounts overdue by 60 days may result in suspended deliveries or debt recovery. Customers are responsible for all recovery costs, including legal fees.

5. Taxes & Government Charges

  • All prices exclude GST and other taxes. Customers are responsible for any applicable taxes.

6. Orders & Delivery

  • Orders must be submitted in writing and are binding once confirmed by TECHOM Systems.
  • Delivery is complete when products are handed over or collected. Dates are estimates only. TECHOM Systems is not liable for delays outside our control.
  • Risk passes to the customer upon delivery. Ensure products are insured and stored safely.

7. Ownership & Security

  • Products remain owned by TECHOM Systems until full payment is received.
  • Products must not be resold or distributed without written consent.

8. Third-Party Products

  • Some products or services may come from third parties. Licenses are provided under the supplier’s terms. TECHOM Systems is not liable for third-party performance but will assist with supplier issues.

9. Returns & Claims

  • Returns require a Return Material Authorization (RMA) within 7 days of delivery.
  • Faulty or incorrect items will be replaced or credited. Change-of-mind returns must be unused, in original packaging and approved by TECHOM Systems.
  • Disputes must be raised in writing within 14 days of invoice receipt. We encourage negotiation before legal action.

10. Replacement, Refunds & ACL Guarantees

  • Products include non-excludable ACL guarantees. We provide replacements, repairs, or refunds as required by law.

11. Liability & Indemnity

  • TECHOM Systems’ liability is limited to the value of products or services supplied in the 12 months prior to a claim.
  • Customers indemnify TECHOM Systems against claims or losses arising from breaches of these Terms, except in cases of our gross negligence.

12. Intellectual Property & Confidentiality

  • All intellectual property remains with TECHOM Systems or its suppliers.
  • Customers must keep TECHOM Systems’ confidential information private.

13. Legal & Compliance

  • These Terms are governed by the laws of Victoria, Australia.
  • Customers must comply with privacy, export control and sanctions laws.
  • TECHOM Systems complies with Modern Slavery legislation and expects customers to maintain ethical supply chains.

14. Other Important Terms

  • These Terms create a Purchase Money Security Interest (PMSI) in supplied products under the PPSA.
  • Customers are responsible for ensuring products meet their intended purpose.
  • Failure to enforce any term does not waive the right to enforce it later.
  • These Terms override conflicting terms in customer orders or documents.
  • Nothing creates a partnership or agency relationship.
